SucSeed has launched the website "www.askubby.fr" (© Ubby) (hereinafter referred to as the "SaaS"), accessible to professional users (hereinafter "You" or "the User") who wish to use our SaaS solution (Software as a Service) for managing and optimizing their business processes.

Your use of the SaaS is subject to the compliance with the terms and conditions of access and use detailed below in the General Terms of Use ("GTU") and all applicable laws and regulations. By using the SaaS, You confirm that You have read, accepted, and will comply with these GTU without reservation.

1. Information on the SaaS Content
This SaaS offers the User the ability to manage and optimize their work processes through our SaaS solution. This site aims to provide tools and resources to enhance companies' operational efficiency and more broadly, to facilitate the use of artificial intelligence in businesses.

SucSeed strives to provide quality and verified information; however, the information presented on this SaaS, regardless of its form, is purely informational and cannot constitute a contractual commitment that could give rise to any legal action.
The content of this SaaS may be protected under intellectual property rights. No use or appropriation of these intellectual property rights is authorized under these GTU.
SucSeed reserves the right to modify the information contained on this SaaS and/or update it at any time and without notice.

During the registration process for Ubby's SaaS, You enter an account name and password. You are solely responsible for maintaining the confidentiality of your account and password and for all actions that occur under your account and/or with your password. You agree to immediately notify Ubby of any unauthorized use of your account and/or password and to ensure that You log out after each session. Ubby shall not be liable for any loss or damage resulting from a failure to comply with these obligations. Ubby reserves the right to disable access codes in case of non-compliant use.

2. Intellectual Property Rights
This SaaS and all of its content, regardless of its nature, are governed by the French Intellectual Property Code. The presentation and content of the SaaS constitute a work protected by the French intellectual property laws in force, of which SucSeed is the owner. All rights are reserved.

SucSeed certifies that it holds or has the necessary authorizations for the use of all names, logos, product and service names, as well as the works integrated into the SaaS, such as photographs, texts, slogans, drawings, models, images, and sound or animated sequences. The names, logos, product and service names are, unless otherwise noted, registered trademarks of SucSeed.

Other trademarks are also mentioned. They are used by SucSeed either with the permission of their owner or as a simple indication of products or services offered by SucSeed.

Photographs, texts, slogans, drawings, models, images, sound or animated sequences, and all other works integrated into the SaaS or any other content are the property of SucSeed or third parties who have authorized SucSeed to use them. Any commercial exploitation, reproduction, representation, use, or modification, by any means and on any medium, of all or part of the SaaS and/or its content, without having obtained the prior authorization of SucSeed, is strictly prohibited and constitutes a copyright infringement.

Notwithstanding the above, only reproductions on paper or electronic media of said SaaS and/or its content are authorized for informational purposes, provided they are strictly reserved for private, non-commercial use, excluding any use for advertising and/or commercial purposes and/or information and/or provided they comply with the provisions of article L. 122-5 of the French Intellectual Property Code. Any copy for such use as defined above must mention SucSeed's copyright and ownership rights. We reserve the right to revoke this authorization at any time by sending You a personal notice or broadcasting it on the SaaS. Any use of this information must then be immediately terminated.

In any case, access to the SaaS and this authorization shall not result in any transfer of the above-mentioned intellectual property rights to You, which remain the exclusive property of SucSeed or third parties who have authorized SucSeed to use them.

3. Personal Data and Cookies
3.1 Personal Data

The information Ubby receives from you corresponds to the information required to use the SaaS. This information is necessary to allow you to fully benefit from the services offered by our SaaS solution. Ubby is the data controller. The data you provide is retained by us for a period of three (3) years.

In accordance with the legal and regulatory provisions in force regarding personal data processing, and in particular Regulation (EU) 2016/679 of the European Parliament and Council of April 27, 2016, you have the right to access, rectify, and, where applicable, delete data concerning you. You may also, for legitimate reasons, object to the processing. These rights may be exercised upon simple written request sent by email to bilel@sucseed.io or by mail to SucSeed, Data Protection Service, 60 rue François 1er - 75008 Paris.

3.2 Cookies
Certain pages of the SaaS may use cookies, which are intended to access information stored on your connection terminal, including storing information related to your navigation on the SaaS and storing information you entered during your connection to facilitate your navigation during your next connection. The retention period for the information collected in this manner is thirteen (13) months from the insertion of the corresponding cookie. You can naturally configure your browser to oppose the storage of these cookies and/or delete them at any time and individually.

4. Liability

Access to the SaaS and the use of its content are entirely at your own risk.
It is your responsibility to protect yourself from any viruses or other elements that could destroy or damage your computer or the data it contains.

SucSeed shall not be held liable for abnormal or fraudulent use by you. You are solely responsible for any direct or indirect damage that may result from your access to or use of the SaaS.

SucSeed will make its best efforts to guarantee you optimal use of the SaaS. However, SucSeed disclaims all responsibility in the event of errors, interruptions, or network or telecommunication system malfunctions, acts of third parties, or temporary inability to access the SaaS due to maintenance or updates or cyberattacks.

Subject to the mandatory legal provisions, the content of the SaaS is provided without any guarantee of any kind, and the information is provided solely for informational and indicative purposes; SucSeed does not guarantee the accuracy of the information contained on the SaaS.
‍
Ubby does not guarantee that the SaaS and its content comply with the legislation of your country. Access to the content presented on the SaaS may be subject to restrictions. You must therefore ensure that the law of the country from which the connection is made authorizes you to access our SaaS, and you are solely responsible for using the SaaS in compliance with the applicable laws, particularly the public order laws in force in your country.

You agree to defend, indemnify, and hold harmless SucSeed from any claim and expense, including attorney's fees, that it may incur as a result of your use of the SaaS or by any other person using your account. SucSeed reserves the right to conduct an exclusive defense against the claim for which it must be indemnified under this article. In such a case, you will provide SucSeed with all reasonable assistance required.

5. Ethics
‍
You agree to comply with the regulations in force concerning ethics, particularly not engaging in any acts that could constitute illegal solicitations, fraud, active or passive corruption, or unethical or illegal commercial practices. You must indemnify and hold SucSeed harmless from any damages and injuries suffered by SucSeed due to unlawful/unfair practices attributable to you.

6. Suspension - Revocation of Access Rights

Ubby may, at any time, suspend or revoke your access rights by blocking access credentials without providing reasons, particularly if you:
● Provided false information during registration;
● Failed to comply with the provisions of the GTU or your duty of care concerning the management of access data;
● Violated the applicable law regarding access to or use of the SaaS;
● Have been inactive on the SaaS for at least twenty-four (24) months;
● Are behind on payments.

7. Miscellaneous Provisions

If any provision of these GTU is deemed illegal, void, or unenforceable under any applicable law, regulation, or treaty, that provision will be deemed inoperative without affecting the other provisions of the GTU, which will remain in full force and effect.
These GTU contain the entire agreement between SucSeed and You for the use of the SaaS.

8. Applicable Law - Dispute Resolution
These GTU are governed by French law, excluding its conflict of law rules.
In the event of a dispute, You and SucSeed will attempt to resolve the matter through mediation or any other amicable solution. If You and SucSeed cannot find an amicable solution, the dispute will be submitted to the exclusive jurisdiction of the courts of Paris, France.9. Updates to the GTU
SucSeed reserves the right to modify and update access to the SaaS, as well as the GTU, at any time. These modifications and updates are binding on You, so You should regularly refer to the SaaS and this section to check the current GTU.10. Identification - Contact
