General Terms of Use Ubby Last updated: 19 August 2026 These general terms of use (the “Terms of Use”) govern access to the ubby.ai website (the “Website”) and the use of Ubby features made available online (the “Service”). The Website may be accessed by anyone. The Service is designed for professional use and, when provided under a paid order, is reserved for persons acting on behalf of a company or other organisation. By creating an account, accepting these Terms of Use online or using the Service, you acknowledge that you have read and accepted these Terms of Use. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
- Provider and applicable documents The Service is provided and operated by SUCSEED SAS, a French société par actions simplifiée registered with the Paris Trade and Companies Register under number 982 685 315, whose registered office is at 60 rue François Ier, 75008 Paris, France (“Ubby”, “we” or “our”). Depending on how you use the Service, the following documents may apply: these Terms of Use; the General Terms of Sale (the “Terms of Sale”), when a paid Service is subscribed to; the order form, subscription agreement or any specific terms accepted in writing (the “Order Form”); the Data Processing Agreement (DPA), where Ubby processes personal data on behalf of a Customer; a service-level agreement (SLA) or support appendix, where expressly accepted; and the Privacy Policy, which describes processing activities for which Ubby acts as a data controller. In the event of a conflict, the following order of precedence applies: any negotiated written agreement or the Order Form; the DPA, for matters relating to personal data processed on behalf of the Customer; the SLA, for the service commitments it covers; the Terms of Sale; and these Terms of Use. The Privacy Policy is provided for information only, unless expressly incorporated into a written agreement.
- Definitions Customer: the company or organisation identified in an Order Form or holding a professional account. Authorised User: a person authorised by the Customer to access the Service. Customer Content: instructions, prompts, files, data, configurations and other materials submitted to the Service by the Customer or its Authorised Users. Results: responses, deliverables or actions generated by the Service from Customer Content. Technical Metadata: information required to operate, secure, support and improve the Service, including timestamps, technical identifiers, versions, events, errors, performance information and activity logs.
- Accounts, users and security 3.1. Access to certain features requires an account. The information provided must be accurate, current and complete. 3.2. Accounts are individual, except where an administrative feature or a written agreement provides otherwise. Connection identifiers must not be shared. The Customer is responsible for activity carried out through its accounts and for managing the permissions granted to its Authorised Users. 3.3. The Customer must implement reasonable measures to protect its identifiers, access keys and connected-tool accounts. Any unauthorised use or security incident must be reported promptly to Ubby. 3.4. Access to the Service is restricted to persons aged eighteen or over who have the legal capacity required to use it. The Customer must ensure that its Authorised Users comply with these Terms of Use.
- Service access and operation 4.1. Ubby provides the Service in accordance with the scope described in the Order Form or, for features made available without an Order Form, in the interface and documentation available at the time of use. 4.2. The Service may integrate models, connectors, hosting providers or other services provided by third parties. The terms and limitations applicable to those services may apply in addition to these Terms of Use. Ubby is not a party to agreements entered into between the Customer and providers of the Customer’s own tools or accounts. 4.3. Ubby may correct, update, modify or evolve the Service. Ubby may also temporarily suspend the Service without prior notice where necessary for security, maintenance, compliance, risk prevention or operational continuity. Where reasonably possible, Ubby will endeavour to inform Customers in advance of operations likely to have a significant impact. 4.4. Availability, support and response-time commitments are those set out in the Terms of Sale, the Order Form or an expressly accepted SLA. Unless otherwise agreed in writing, the Service is provided on a reasonable-efforts basis, without a specific availability or resolution-time commitment.
- Permitted use The Customer and its Authorised Users undertake to: use the Service in compliance with applicable laws and regulations, these Terms of Use and the terms applicable to connected third-party tools; hold all rights, authorisations and legal bases required to submit Customer Content and give instructions to the Service; review Results and supervise Service actions where the nature or consequences of the use require it; comply with usage, credit, user and feature limits set out in the Order Form or applicable offer; and maintain their own backups of data, files and Results they wish to preserve. The Customer and its Authorised Users must not: use the Service for unlawful, fraudulent or discriminatory purposes, or in a manner that infringes a third party’s rights; transmit malware, bypass a security mechanism, disrupt the Service or attempt to access an account, data or system without authorisation; disable access controls, extract source code, reverse engineer or bypass technical limits, except to the extent required by mandatory law; use the Service to develop or operate a substantially equivalent service, or to conduct public comparative performance testing, without Ubby’s prior written consent; resell, rent, distribute, make available or operate the Service for third parties, or share individual accounts, unless Ubby has given its prior written consent or the Order Form expressly provides otherwise; or submit special categories of personal data or data relating to criminal convictions and offences without prior written approval and appropriate safeguards.
- Generated Results and human oversight 6.1. The technologies used by the Service may produce probabilistic, incomplete, inaccurate, non-original or contextually unsuitable Results. A Result does not constitute legal, medical, financial or professional advice. 6.2. The Customer remains responsible for human review, validation of instructions and validation of actions taken on the basis of Results. The Service must not be used as the sole basis for a decision producing legal effects or significantly affecting a person without appropriate control and validation. 6.3. Where the Service can act in a third-party tool, the Customer must configure the permissions, connection identifiers and approval steps appropriate to its business. The Customer must verify that those settings are appropriate for the sensitivity of the authorised actions.
- Third-party tools and integrations 7.1. The Customer authorises Ubby to access the tools and accounts it connects to the Service, within the permissions and instructions configured by the Customer. 7.2. The Customer remains responsible for the validity of its third-party accounts, permissions and connection identifiers, and for complying with the terms applicable to those tools. 7.3. A change, restriction or interruption affecting a third-party tool may limit or interrupt a Service feature. Ubby may propose an adaptation where reasonably possible, but does not guarantee the continued availability of an integration whose provider changes or withdraws access.
- Customer Content and intellectual property 8.1. The Customer retains its rights in Customer Content. For the period necessary to provide the Service, the Customer grants Ubby a non-exclusive right to host, process, transmit, technically reproduce and execute Customer Content solely to provide, secure, maintain and support the Service. 8.2. To the extent permitted by law, the Customer may use Results for its professional purposes, subject to third-party rights, applicable licences and the terms of the models or services used. Ubby does not warrant that a Result is protectable by an intellectual property right or free from third-party rights. 8.3. Unless otherwise agreed in writing, Ubby does not use Customer Content, instructions or Results to train or fine-tune a general-purpose artificial intelligence model. This does not prevent Ubby from using Technical Metadata under Article 9. 8.4. Ubby and its licensors retain all rights in the Service, its software, interfaces, components, methods, documentation, trademarks and generic elements. Subject to payment of amounts due, the Customer receives a limited, non-exclusive, non-transferable and non-sublicensable right to access and use the Service for the applicable term. 8.5. Ideas, suggestions and feedback provided to Ubby may be used to improve the Service without compensation, provided that they do not disclose Customer Content or the Customer’s Confidential Information.
- Technical Metadata, probes and logs 9.1. To operate, secure, maintain, support and improve the Service, Ubby may use probes, telemetry tools and diagnostic mechanisms to collect or analyse Technical Metadata and technical logs. 9.2. This information may relate to an action or execution, its date and duration, the version used, its status, error events, performance, security incidents and information required to process a support ticket. 9.3. Technical Metadata may be accessed by Ubby personnel authorised to do so, to the extent necessary for their operational, support, security, analysis or remediation functions. Ubby may use aggregated or anonymised data to improve the Service and correct errors. 9.4. Where Technical Metadata contains personal data, it is processed in accordance with the Privacy Policy and, where Ubby acts on behalf of the Customer, the applicable DPA.
- Personal data and confidentiality 10.1. The Privacy Policy describes processing activities for which Ubby acts as data controller, including account management, security, support and communications. 10.2. Where the Customer determines the purposes and means of processing personal data entrusted to the Service, the Customer acts as controller and Ubby acts as processor, unless a different qualification is required by law or agreed in writing. The DPA governs those processing activities and prevails over these Terms of Use for data-protection matters. 10.3. Each party must protect the other party’s Confidential Information and use it only to perform its obligations or exercise its rights. This obligation does not apply to information that is public, lawfully known already, received from an authorised third party or independently developed. Disclosure may be made where required by law, to the extent permitted by law.
- Support 11.1. Standard support is available by email and through the ticketing tool indicated by Ubby. The Customer may use it to track the status, priority, exchanges and actions relating to its tickets. 11.2. First-response times, hours, priorities, any availability commitments and applicable remedies are set out in the Order Form, the Terms of Sale or a specific SLA. Unless otherwise agreed in writing, these times are targets and not guaranteed resolution deadlines. 11.3. Support requests must contain the information needed for diagnosis and must not include personal data or Confidential Information that is not necessary to process the request.
- Fees and term of paid Services 12.1. Prices, invoicing and payment terms, credits, term, renewal, offer changes and the consequences of termination are governed exclusively by the Order Form and the applicable Terms of Sale. 12.2. In the event of a conflict between this Article and an Order Form or the Terms of Sale, the Order Form or Terms of Sale prevail. 12.3. For free or trial features, Ubby may discontinue access or change applicable limits at any time, subject to the Customer’s mandatory rights and the information provided when the feature was activated.
- Suspension and end of access 13.1. Ubby may suspend or restrict all or part of access to the Service where it reasonably considers this necessary to prevent a security risk, protect the Service or a third party, comply with a legal obligation, respond to an authority request, address non-payment or stop a breach of these Terms of Use. Ubby will inform the Customer where the circumstances allow and will restore access once the cause of the suspension has been resolved. 13.2. The Customer may stop using a free feature or close its account using the available interface options or by contacting Ubby. The end of a paid Service is governed by the Order Form and the Terms of Sale. 13.3. When access ends, the rights of use cease. Export, return, deletion and retention of data are governed by the applicable DPA, Terms of Sale, Order Form and Privacy Policy.
- Liability and exclusions 14.1. Ubby provides the Service with reasonable professional care. Unless expressly agreed in an Order Form or SLA, the Service is not warranted to be uninterrupted, error-free or fit for a particular result. 14.2. Ubby is not liable for damage resulting from a third-party tool, a network or system under the Customer’s control, an instruction or Customer Content, an incorrect permission configuration, non-compliant use or an event reasonably beyond its control. 14.3. For a Customer that has entered into an Order Form, the exclusions, caps and liability rules in the Terms of Sale apply and prevail. For the Website and free features, Ubby’s liability is limited to the extent permitted by law. 14.4. The Customer shall indemnify Ubby against third-party claims arising from Customer Content or use of the Service contrary to these Terms of Use, applicable law or third-party rights, except to the extent that the claim results from Ubby’s own breach.
- Changes to these Terms of Use 15.1. Ubby may update these Terms of Use to reflect changes to the Website, the Service, security practices or applicable regulations. The version published on the Website states its update date. 15.2. For the Website and free features, a new version takes effect upon publication unless stated otherwise. For paid Services and ongoing Orders, the effective-date rules set out in the Terms of Sale or Order Form apply. A change required to comply with a legal obligation or prevent a security risk may take effect upon publication; other material changes are notified on a durable medium and apply only on the date provided by the applicable contractual documents. 15.3. Published versions are retained in their published form; any change is made through a new version. The version applicable to a use is the version in force on the date of that use, subject to the specific rules in an Order Form or the Terms of Sale.
- General provisions 16.1. Notices to Ubby under these Terms of Use may be sent to legal@ubby.ai. Support requests may be sent to support@ubby.ai or submitted through the available ticketing tool. 16.2. A party’s failure to exercise a right does not constitute a waiver of that right. If any provision is held invalid or unenforceable, the remaining provisions remain in force and the affected provision will be replaced by a valid provision that comes as close as possible to its intended effect. 16.3. The Customer may not assign its rights or obligations under these Terms of Use without Ubby’s prior written consent, except where mandatory law provides otherwise. Ubby may transfer these Terms of Use to a group company or in connection with a transaction involving all or a substantial part of its business, provided that the Customer’s rights are preserved. 16.4. These Terms of Use may be accepted electronically. Unless proven otherwise, electronic records retained by Ubby constitute evidence of access, actions and acceptances made through the Service.
- Governing law and jurisdiction These Terms of Use are governed by French law. The parties shall endeavour to resolve amicably any dispute relating to their validity, interpretation or performance. If no amicable resolution is reached, any dispute shall fall under the exclusive jurisdiction of the competent courts of Paris, subject to mandatory rules. This version is drafted in English for convenience. In the event of any discrepancy or conflict, the French version prevails.
